Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Jay. By accessing or using Jay, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use Jay.
1. Definitions
- “Jay”, “we”, “us”, or “our” means the Jay service, operated by Arachnida Apps.
- “You” means the person using Jay under their Arachnida Apps account.
- “Content” means anything you record in Jay, including transactions, budgets, categories, goals and funds, recurring items, the names of people you budget for, and the names of accounts.
2. Eligibility
You must be at least 16 years old (and at least the age of digital consent where you live) and able to form a binding contract. If you are a minor where you live, a parent or legal guardian must review and agree to these Terms on your behalf. You may use Jay only through a valid Arachnida Apps account, and only as permitted by these Terms and applicable law.
3. Your account
You reach Jay by signing in with Arachnida Apps; we never see or store your password. You are responsible for the security of your account and for everything done under it. Tell us promptly about any unauthorised use. Do not share your account, impersonate anyone, or access data that is not yours.
4. What Jay is — and is not
Jay is an informational budgeting tool. You type in what you earn and what you spend; Jay does arithmetic on those figures and shows you the result.
Jay is not a bank, a money transmitter, a payment service, a broker, an adviser, or any kind of financial institution. It holds no money, moves no money, and has no connection to any bank, card, or financial account. Nothing in Jay is financial, investment, tax, accounting, or legal advice, and no adviser-client relationship is created by using it. Every figure it displays — budgets, what is left today, carried-over amounts, goal progress, projections — is computed from what you entered, and is only ever as accurate as that. Suggested budgets are general information drawn from published sources, are shown with their arithmetic so you can disagree with them, and are never applied on your behalf. Decisions about your money are yours; you are responsible for them, and for verifying anything of consequence against your actual accounts and, where appropriate, a qualified professional.
5. Acceptable use
You agree that you will not, and will not attempt to:
- use Jay unlawfully, or to harass, defame, stalk, threaten, or harm anyone;
- record information about another person that you have no lawful basis to hold, or that infringes their privacy or other rights;
- access, probe, or interfere with accounts, data, or systems that are not yours, or circumvent any access control or security measure;
- scrape, crawl, harvest, or use bots or automated means to access Jay or collect data from it;
- reverse engineer, decompile, or attempt to derive source code, except so far as this restriction is prohibited by law;
- introduce malware, overload or disrupt the service, or use it to build or train a competing product or dataset;
- misrepresent your affiliation with Jay, or remove any proprietary notices.
6. Information you record about other people
Jay lets you name the people you spend money on so that spending has somewhere to go. You alone decide what to record and are solely responsible for it. You represent that you have a lawful basis to keep any information you record about another person and that doing so complies with applicable privacy laws. That information is visible only to you; we may remove it at the named person’s request, or where we believe these Terms or the law have been broken.
7. Your Content, and keeping your own copies
You own your Content. To operate Jay you grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, and display it solely to provide and maintain the service for you. That licence ends when you delete the Content or your account, except for residual copies in routine backups that age out on their normal cycle and anything we must keep to comply with law. Jay is not a system of record for your finances — your bank is. Keep your own records; we are not liable for Content that is lost, corrupted, or deleted.
8. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Jay, Arachnida Apps, and their operator, contractors, and affiliates from any claims, demands, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your Content, (b) your use of Jay, (c) your violation of these Terms or any law, or (d) your collection or use of information about another person. We may assume the exclusive defence of any matter subject to indemnification, and you agree to cooperate.
9. Intellectual property
The Jay and Arachnida Apps names, logos, software, and design are ours or our licensors’ and are protected by intellectual-property law; these Terms grant you no right to them beyond using the service as intended. The research Jay cites belongs to its authors and is cited, not licensed or endorsed by them. All other trademarks belong to their respective owners.
10. Third-party services
Jay relies on third-party services — the Arachnida Apps sign-in service, your browser’s push service, and hosting infrastructure — described in our Privacy Policy. We are not responsible for those services or for any site they link to, and your use of them may be subject to their own terms.
Some links on Further reading may be affiliate links, labelled as such where they are: if you buy after clicking one, we may receive a commission at no additional cost to you. We are not the seller, we are not party to your purchase, and anything you buy is between you and that bookseller under their terms — including price, delivery, returns, and any dispute. Listing a book is not a warranty about it, and a commission never determines what is listed.
11. Disclaimers
JAY IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Jay will be uninterrupted, secure, or error-free, that any figure, budget, projection, or reminder is accurate, complete, or suitable for your circumstances, or that defects will be corrected. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, JAY, ARACHNIDA APPS, AND THEIR OPERATOR AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, MISSED PAYMENT, OVERDRAFT, FEE, INTEREST CHARGE, OR OTHER FINANCIAL LOSS, arising out of or related to your use of (or inability to use) Jay, even if advised of the possibility. Our total aggregate liability for all claims relating to Jay will not exceed the greater of what you paid us for the service in the twelve months before the claim or USD $100. These limits do not apply to liability that cannot be excluded or limited by law. Where the law does not allow some of these limitations, they apply to the maximum extent permitted.
13. Suspension and termination
You may stop using Jay at any time, and deleting your Arachnida Apps account erases your Jay data. We may suspend or end your access, with or without notice, if we reasonably believe you have broken these Terms or the law, or to protect Jay or its users. Sections that by their nature should survive termination — Content responsibility, indemnification, disclaimers, limitation of liability, and governing law — survive.
14. Changes to Jay and to these Terms
We may add, change, or discontinue features at any time, and Jay is offered free of charge with no guarantee of continued availability. We may also update these Terms; for a material change we will update the date above and ask you to accept the revised Terms before you continue. Changes are not retroactive, and continuing to use Jay after a change takes effect means you accept it.
15. Governing law and venue
These Terms are governed by the laws of the State of Louisiana, United States, without regard to its conflict-of-laws rules. To the fullest extent permitted by law, the exclusive jurisdiction and venue for any dispute arising out of or relating to Jay or these Terms is the state and federal courts located in Louisiana, and you consent to personal jurisdiction there. Nothing here deprives you of the protection of mandatory consumer-protection laws where you live, or of your right to bring a qualifying claim in small-claims court.
16. General
These Terms, together with the Privacy Policy, are the entire agreement between you and us about Jay. If any provision is held unenforceable, the rest remain in effect and that provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Headings are for convenience only.
